Company Secretary:

We are currently recruiting for an in-house company secretary who will be playing a vital role in an established and robust governance structure and systems to ensure that it can operative efficiently.

The successful candidate will support the CEO, executive team and board to ensure that all interfaces with the shareholder, partners, contractors and other stake holders are formally managed and records retained.

Your role will also encompass support in respect of the executive leadership team (ELT) and monthly ELT meetings and follow ups.

The company secretary will become the 'go-to' person for any issues or projects that do not have a natural home.

Principle Duties:

  • Put in place processes to maximise benefits, Liaison with the commercial, development and planning directors to plan and manage forward agendas for monthly meetings.

  • Record minutes of the board and audit committee and minuite/ capturing actions of executive meetings. Tracking and reporting back on actions arising on dynamic basis. Collation, distribution and retention of meeting papers.

  • work with the ~CEO to streamline and optimise all required liaison with, and provision of information of the local council.

  • Establishment of document approval and retention protocols and policies and registers in respect of guarantees, warranties, related party transactions, charges, conflicts and the like. Ensure that robust policies are put in place to manage the company's duties in the law (for example: Anti bribery and corruption) and that staff are trained accordingly

  • Maintenance of registers and filings all notices required by law at companies house.

Attributes and qualifications

  • Prior experience as a company sectary or deputy of an organisation or operating in a role that supports a board and leads on issues of operations and governance

  • Good understanding of strategic issues and business topics as they relate to the company

  • The intelligence to inspire confidence in the board and executive

  • A degree of acumen to couch the inevitable necessities of compliance and regulation in terms and in forms which are facilitative rather than clunky or overly bureaucratic.

  • the ability to synthesise regulatory issues within a commercial setting which taking account of our shareholder relationship and advise accordingly

  • the confidence and experience to make rapid and safe judgements and to steer the board on knotty governance issues

  • Judgement, Independence and maturity to act as a sounding board for executive or non-executive directors and the nuance to handle sensitive situations with a deft touch

  • Flexibility and an engaging, collaborative manner

  • The ability to scan for 'what is coming down the track' and to put this in a context for the board, recommending actions as the case may be

  • Results driven, looking for continues improvement and bringing an eye for simplification of processes and procedures

  • a self starter with excellent communication skills, able to liaise and persuade at all levels

  • a committed team player but self sufficient

  • Thorough attention to detail

  • Experience of local government and/ or property development a bonus

Desirable Criteria:

  • Educated to a degree level, or equivalent, with an additional business qualification

  • Develop partnership-wide functional strategic and operational plans

  • A good communicator with strong interpersonal skills, including the ability to listen, persuade and influence

  • Provide effective advise and support

  • Experience of developing and implementing, organisational strategy and business plans and working collaboratively with CEO's and the board

The post is a 4 month interim position

£308 daily rate
