Job Title: Company Secretary

Reporting to: Operations Director

Contract type: Permanent

Contract hours: Full time - Monday to Friday, 9am to 5:30pm

Salary per annum: £55k

Holiday per annum: 25 days plus bank holidays

Location: South Kensington (Flexible working opportunities)


Responsible for statutory compliance with the management of the company's registrars and compliance with the UK Corporate Governance Code. In addition, provides HR and payroll duties and administration.


Company Secretary

  • Maintains the company's statutory books including:

    • a register of present and past directors and secretaries

    • a register of all shareholders, past and present and their shareholdings

    • a register of any charges on the company's assets

    • minutes of general meetings and Board meetings

    • a register of the debenture holders (typically banks)

  • Files annual returns at Companies House, including the directors report, and auditors' reports, and financial statements, including details of the company's assets and liabilities.

  • Providing secretarial support to the Directors, including maintaining the company calendar, managing diaries, arranging meetings, preparing agendas, circulation of relevant papers and taking and producing minutes to accurately record the business transacted and the decisions taken.

  • Informing Companies House of any significant changes in the company structure or management i.e. the appointment of resignation of directors.

  • Establishing and maintaining the companies registered office as the address for any formal communications. Ensuring that all the company's business stationary carries its name, registered number, country of registration and registered address, and that it appears on the company websites, emails, order forms and invoices.

  • Ensuring the security of the companies' legal documents, including for example, the certificate of incorporation and memorandum and articles of association.

  • Advising directors of their duties, and ensuring they comply with corporate legislation and the articles of associated of the company. Organising relevant training and awareness sessions.

  • Assisting the Operations Director with wider Governance and compliance including GDPR, Insurances and health and safety.

HR and Payroll

  • Managing and administering payroll, pension, and benefits, including year end and renewal processes.

  • Assisting the Operations Director, by providing effective HR duties and administration, including:

  • supporting the recruitment processes and maintaining a preferred agency list, and up to date terms

  • developing and executing the new joiner and leaver process, including managing the probationary period process

  • maintaining contractual paperwork and associated documents, and managing the annual auditing process from a HR and Payroll perspective

  • developing and executing the training matrix; creating individual learning journeys based on role requirements

  • supporting tenders and renewals

  • Budget owner of dedicated areas, including payroll, pension, benefits and subscriptions - including budget analysis and commentary.

  • Preparing regular Company News updates.

  • Coordinating and designing quarterly staff meetings.

  • Helping to host at company events and socials.


  • To provide absence cover to relevant members of the Operations Team when required.

  • Confident to deliver, advise and make decisions on all areas of the JD including best practice and remaining up to date; seeks and embraces continuous professional development.

To be considered and successful in this role, the right candidate will need to demonstrate that they:

  • are a member of the Institute of Chartered Secretaries and Administrators or other recognised Chartered qualification.

  • have successfully held the office of Company Secretary for at least two years - able to confidently discharge the functions of the secretary of the company including concise and accurate minute taking.

  • have experience in managing and administering routine payroll, pension and HR administration, and associated duties - a HR qualification is desirable but not essential

  • have an organised and professional approach, with an eye for detail and accuracy - able to work within a busy environment, for multiple people.

  • possess a strong understanding of process and technology to streamline duties and create efficiencies.

  • have a high level of verbal and written communication - good use of the English language.

  • can utilise MS Office (Excel, Word, Outlook and MS Teams) to an advanced level.

  • have a personable and credible nature, with style and ethics that fit well with SKE's culture, values and approach to business.
